CREATOR CONDUCT AND CONTENT POLICY

Upholding honesty and staying true to our values is something we take seriously. This Creator Conduct and Content Policy is designed to provide guidance on the standards and values that Makeship expects from and upholds in all relationships and dealings with our creator partners as well as their communities.
SCOPE AND EFFECT
The Creator Conduct and Content Policy forms a part of our Creator Terms of Service - all creators are required to read and agree to this Policy prior to entering into any campaign agreements with Makeship. Where agreements are entered into with a party associated with a creator, such as a company or representative, the Policy also extends to the creator and their conduct directly.
The Policy extends to all initiatives hosted, supported or facilitated by, or involving, Makeship, such as any campaigns, petitions, product launches, collaborations, or advertising or monetization initiatives.
This Policy applies at every stage of a campaign, including planning, advertising, launch, fulfillment, or post-campaign phases. It applies to creator behavior in the context of all dealings concerning Makeship, as well as to other business and personal behavior.
This Policy is not exhaustive. It supplements, is subject to and does not in any way restrict Makeship’s right, as outlined in our Creator Terms of Service or other agreements, to choose to terminate an agreement or campaign initiative if in our reasonable opinion there arises a matter concerning a creator or an associate, which causes or may cause reputational risk to us.
The Policy is updated periodically as the world (and Makeship) evolves. Revisions go into effect when posted and may be enforced immediately. We may apply this Policy retroactively to existing relationships.
APPLICATION TO CREATOR CONTENT
This Policy applies not only to creators and their conduct, but also to creator content. Creator content which Makeship considers to be contrary to this Policy may lead to Makeship taking action under this Policy. This applies regardless of when the content was created, published, or came to Makeship’s attention. We reserve the right to revise any prior assessment of creator content in light of additional information or context.
CREATOR CODE OF CONDUCT

Compliance with law – Creators are expected to respect and comply with all laws which may be applicable to them, and any content they publish, including all statutes and regulations, and any criminal and civil laws in their country of residence and internationally. These include the following:
- Criminal - Makeship may cease collaboration with creators in cases of charges, convictions or credible allegations of the commission of a criminal offence.
- Civil - This includes civil matters such as defamation, intellectual property infringement, torts, negligence and claims involving dishonesty or deception.
- Regulatory - Creators must comply with all applicable regulations and codes, for example advertising and influencer marketing laws, data privacy laws, employment and labour laws, and any other applicable local, national, and international laws and regulations relevant to their content and business activities.
In addition to actual legal proceedings, charges, or convictions, Makeship will act on credible allegations. A “credible allegation” is one that, in Makeship’s reasonable judgment, is supported by consistent reporting, reputable sources, corroborating evidence, or widespread public concern.

Respect for IP Ownership – Creators are expected to respect the intellectual property rights of others. All content created, published, or used by Creator, as well as any materials provided to Makeship for use in any campaigns or related activities, cannot infringe or violate someone else's rights, including their intellectual property rights (such as copyright or trademark). Creators must ensure they own or have obtained all necessary rights to use all such content. Use of generative artificial technologies must comply with all applicable laws, and any applicable Makeship policy.

Respect for others – Creators are expected to respect the rights of other members of the community. The following are examples of behaviours that are not tolerated:

Intolerance and discrimination – Makeship welcomes diversity in race, ethnicity, color, religion, gender identity, sexual orientation, disability, national origin, and other groups. Creators and creator content should not demean, dehumanize, marginalize, use hateful language against, perpetuate negative stereotypes about, or belittle other users or groups. Creator behavior or content that promotes or encourages intolerance or discrimination is firmly against our values and is in breach of this Code.

Bullying and harassment – Conduct or content that is predatory, harassing, threatening, intimidating, demeaning, derogatory, invasive of privacy, abusive, or that would cause real-world harm, including extortion, sextortion, and blackmail, is not permitted.

Safety and legality – Conduct or content that promotes illegal activities is not permitted. This includes the promotion of known real-world gangs or gang violence, the promotion of known real-world terrorist organizations or terrorism, the promotion of real-world violent extremists or extremism, harassment, bullying, assault, doxing, swatting, gambling, illegal drugs, animal cruelty, fraud, hacking, or piracy. Content that depicts, condones, incites, or threatens real-world violence against others is prohibited.

Creator communities – Creators are responsible for the communities they build and foster. Makeship may elect to act under this Policy in its discretion where it considers that a matter arises in connection with a Creator’s community that raises concerns relating to this Policy.

Respect for our employees and fans – Creators must treat all employees, fans, customers and community members with dignity and respect. Any form of harassment, abuse, intimidation, or unprofessional conduct toward Makeship personnel, customers or associates is prohibited.

Reputation of Makeship and its partners – Makeship has a responsibility to ensure the protection of its reputation and brand, as well as that of its brand partners. Creator conduct or content that in Makeship’s absolute discretion reflects unfavourably on Makeship’s reputation and brands, or on any campaign or on any brand partner, may result in Makeship acting under this Policy.

Disclosure of conduct or content issues – Creators are required to disclose any matters of which they are or become aware that may constitute non-compliance with this Code.
HOW WE MAY APPLY THIS POLICY
Without limiting any other rights under our Creator Terms of Service or any campaign agreement, where a concern arises under this Code, we may take such actions as we consider necessary to safeguard the reputation of Makeship, our brand partners, and/or to protect any campaigns or initiatives. These may include, but are not limited to, the following:

Prior to Campaign commencing – We may decline to proceed with a planned or agreed campaign, regardless of the stage, and decline to proceed with any further campaigns with a Creator.

Campaign in progress – If a campaign is active or underway and concern arises under this Code, Makeship may, at its sole discretion, take any of the following immediate actions:
- Pause or cancel the campaign with immediate effect.
- Refund all contributions or purchases made by customers in full.
- Remove promotional content related to the creator from all Makeship platforms.

After a Campaign has concluded – If a matter arises under this Code after a campaign has concluded, we may at our sole discretion:
- Cancel and refund all customer orders (if product fulfillment has not yet occurred).
- Cease future campaign collaboration with a creator permanently.

Removal or modification of content – Makeship reserves the right to remove or alter existing content. We may remove or modify campaign materials, imagery, or other intellectual property from our platforms, archives, and promotional channels as we see appropriate to mitigate any reputational harm.
OTHER MATTERS
Procedure – Where Makeship takes a step such as withdrawing from a campaign pursuant to this Policy, we will notify the creator in writing within a reasonable period of time. Where appropriate, we may provide a creator an opportunity to submit relevant information or context in response to any notification, which Makeship may consider at its sole discretion. However, Makeship is not obliged to act on such information and retains absolute discretion to act as it determines appropriate.
Record keeping and Confidentiality – Makeship may document allegations, communications, and actions taken under this Code. We will endeavour to maintain confidentiality to the extent possible while protecting our community and complying with the law.
Legal Compliance – Makeship is required to comply with all applicable laws, court or tribunal orders, law enforcement investigations, and legal or regulatory proceedings. If requested or compelled by lawful authority, Makeship may disclose information, pause or cancel campaigns, and/or take any other actions necessary to comply with legal obligations, processes or directions.
Liability – Makeship excludes liability to the creator or any of the creator’s associates in respect of any matter arising out of or in connection with this Policy, and its implementation, except in cases of Makeship’s gross negligence or wilful misconduct.
